Selling a Gas Station: Business Only vs. Real Estate Included

The Short Answer

Selling the business and real estate together usually produces a larger, cleaner exit, while selling only the business and keeping the property can provide ongoing rental income. The right choice depends on your financial goals, tax situation, the property’s long-term value, and what buyers in your market are looking for.

Option 1: Sell the business and real estate together

This is often the simplest full exit. You receive the combined value at closing and step away from both the operation and property ownership. The buyer pool may be smaller because the purchase price and financing requirements are higher, but buyers who can afford it often value the control that comes with owning the land.

Option 2: Sell the business, keep the real estate

Here you sell the operating business and sign a lease with the buyer. You give up day-to-day operations but keep an income-producing asset. Lease terms — rent, length, escalations, and responsibility for repairs and environmental issues — become very important, because they affect both your future income and what a buyer can pay for the business.

Option 3: Sell a business you operate on leased property

If you lease the site, you are selling the business and, typically, assigning the lease. The remaining lease term and the landlord’s approval process often play a central role in price and timing.

Questions to ask yourself

  • Do I want a complete exit, or ongoing income?
  • Am I comfortable being a landlord to the next operator?
  • How might each structure affect my taxes?
  • Who will be responsible for tanks, equipment, and environmental matters after the sale?

This information is general in nature and is not legal, tax, environmental, or financial advice. Requirements vary by property and transaction. Consult qualified professionals about your specific situation.
